Option 1: Full Ownership
Acquisition Details:
- Purchase Price: $26,000
- Financing Option: $500-$600 per month (Terms and conditions apply, subject to credit approval)
Content Management:
- Full Control: You will have complete autonomy over the content displayed on the LEDCube.
- Content Responsibility: You are solely responsible for the legal compliance and appropriateness of the content displayed.
Legal Considerations:
- Warranty: The LEDCube comes with a standard manufacturer’s warranty. Extended warranties may be available for an additional cost.
- Maintenance: Regular maintenance and any repairs are your responsibility post-warranty.
- Liability: You are liable for any damages caused by the LEDCube after installation.
- Content Liability: You must ensure that all displayed content complies with local laws and regulations, including but not limited to copyright, obscenity, and advertising standards.
Option 2: Joint Venture Arrangement
Initial Cost:
- Setup Fee: $5,600
- Installation: You are responsible for the installation and any related costs.
- Insurance: You must insure the LEDCube against damage, theft, and liability.
Content Management:
- Collaborative Management: We will manage the content in partnership with you.
- Content Submission: You will provide the content to be displayed.
- Display Time: 50/50 split buyer is given access to display its products for 50 percent of the cube space and ledcubes has the rights to sell 50 percent of the space to advertisers.
- Approval Process: All content must be submitted for approval to ensure it is compatible with the environment and practices of your establishment.
Legal Considerations:
- Content Approval: All content must be vetted and approved by our team to ensure compliance with relevant laws and regulations.
- Content Liability: Both parties share liability for the content displayed. You are responsible for the content you submit, while we ensure it meets all legal and regulatory standards.
- Contractual Agreement: A detailed agreement will be drafted, specifying the terms of content management, display time allocation, and other responsibilities.
- Termination Clause: The contract will include terms for termination, including but not limited to breach of contract, non-compliance with content guidelines, and failure to pay associated costs.
- Intellectual Property: Any content you provide must not infringe on third-party intellectual property rights. You will indemnify us against any claims related to intellectual property violations.
- Indemnification: You agree to indemnify and hold harmless our company from any claims arising out of the content you provide.
Additional Terms for Both Options
- Jurisdiction: All agreements will be governed by the laws of the state/country in which the transaction occurs.
- Dispute Resolution: Any disputes will be resolved through arbitration or mediation before resorting to litigation.
- Confidentiality: Both parties agree to maintain confidentiality regarding sensitive business information shared during the course of the agreement.
